1 Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Teacher", "Affiliate", "Member") and [COMPANY NAME] ("SkillWave", "Platform", "we", "us", "our"), operating at skillwave.es.
By registering an account, purchasing a plan, using any feature, or accessing any content on SkillWave, you unconditionally accept these Terms. If you are using the platform on behalf of an organization, you confirm you have authority to bind that organization.
We reserve the right to modify these Terms at any time. Continued use of the platform after any changes constitutes acceptance. You should review these Terms regularly.
2 Eligibility
- You must be at least 18 years of age to register or use SkillWave.
- You must be a resident of India or have legal capacity to enter contracts under applicable law.
- You must provide accurate, truthful, and complete information during registration. False registration data will lead to immediate account termination.
- Each individual may hold only one user account. Duplicate or multiple accounts are strictly prohibited and will be suspended without refund.
- SkillWave reserves the right to refuse, suspend, or terminate any registration at its sole discretion.
3 Account Registration & Security
User (Student) Accounts
Registration requires: Full Name, Email Address, 10-digit Indian mobile number, Password (minimum 8 characters), State, and City. Account creation is only completed after successful plan payment.
Teacher Accounts
Teachers register separately at /teacher/register.php and must provide: Name, Email, Phone, Subject Specialization, Experience level, and a Bio. All teacher accounts are subject to admin review and approval before activation.
Account Security
- You are solely responsible for the security of your login credentials.
- Do not share your password with any person. SkillWave staff will never ask for your password.
- Notify us immediately at support@skillwave.com if you suspect unauthorized access.
- SkillWave is not liable for any loss arising from unauthorized account access due to your negligence.
4 Subscription Plans & Access
- Access to paid courses and platform features requires an active subscription plan.
- Plans are categorized into three tiers: Basic (Tier 1), Pro (Tier 2), and Elite (Tier 3). Higher tiers unlock more content cumulatively.
- All prices are displayed in Indian Rupees (₹) and include applicable taxes unless stated otherwise.
- Plans are valid for the duration stated at the time of purchase and expire automatically.
- Plans are non-transferable and may not be shared between accounts.
- Free courses are accessible to all registered users. Paid courses require an active subscription of the appropriate tier.
- SkillWave reserves the right to modify, discontinue, or restructure plans with reasonable notice.
5 Payments
- All payments are processed via Razorpay, a PCI-DSS compliant payment gateway.
- SkillWave does not store your card number, CVV, or banking credentials.
- Your plan activates immediately upon payment confirmation.
- If a payment fails after deduction from your bank, it will be automatically refunded by Razorpay within 5–7 business days.
- SkillWave accepts UPI, Debit/Credit Cards, Net Banking, and Wallets supported by Razorpay.
6 No Refund Policy
All purchases on SkillWave are strictly final and non-refundable. By completing payment, you confirm you have reviewed the platform and accept this policy. See our Refund & Cancellation Policy for full details.
7 Referral & Affiliate Program
- SkillWave operates a 3-level referral commission program. Commissions are credited to your wallet upon successful payment by a referred user.
- SkillWave is not a pyramid scheme, chit fund, or multi-level marketing (MLM) company. The referral program is supplementary to actual course and skill learning.
- Artificial inflation of referral counts, fake registrations, or any manipulative tactics are strictly prohibited and will result in account suspension and forfeiture of all earnings.
- Commission income is the earner's personal income. TDS and applicable taxes will be deducted as required under Indian tax law.

8 Course Content & Intellectual Property
- All course content — videos, text, materials, and resources — is the property of SkillWave or the respective Teacher and is protected by Indian and international copyright law.
- You may access course content only for your personal, non-commercial learning.
- Downloading, screen-recording, sharing, redistributing, or reselling any course content is strictly prohibited.
- Violation will result in immediate account termination and may result in legal proceedings.
9 Teacher Obligations
- Teachers must provide accurate, original content. Plagiarism, copyright infringement, or misleading content is prohibited.
- Teachers are independent contributors and are not employees of SkillWave.
- SkillWave reserves the right to remove any course or teacher that violates platform policies.
- Teacher earnings and commissions are subject to the commission structure as defined by the admin panel and may be revised with 30 days' notice.
- Teachers are solely responsible for accuracy of all content they create or upload.
10 Prohibited Activities
You agree NOT to:
- Use the platform for any illegal, fraudulent, or unauthorized purpose.
- Create fake accounts or manipulate the referral system in any way.
- Harass, abuse, threaten, or discriminate against other users, teachers, or staff.
- Attempt to hack, disrupt, or reverse-engineer any part of the platform.
- Use automated bots, scrapers, or scripts to interact with the platform.
- Upload or share malicious code, viruses, or harmful content.
- Misrepresent your identity or affiliation with SkillWave.
- Spam other users with unsolicited referral links or promotional messages.
11 Account Termination
SkillWave may suspend or permanently terminate any account — without prior notice and without refund — for violation of these Terms. Upon termination, any unused plan access and earnings below the minimum withdrawal threshold will be forfeited. You may request voluntary account deletion by contacting support.
12 Limitation of Liability
SkillWave provides the platform "as is" without any warranties. We are not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount paid for your current active subscription plan.
13 Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Telangana, India. We encourage resolution through our support team before initiating any legal action.

2 How We Use Your Data
- Account Management: Creating, verifying, and managing your SkillWave account.
- Payment Processing: Forwarding payment details to Razorpay for transaction processing.
- Subscription Access: Granting you access to courses and features based on your active plan.
- Referral Commissions: Tracking your referral chain and crediting commissions correctly.
- Withdrawals: Processing payout requests to your registered bank or UPI account.
- Communication: Sending account verification emails, password reset emails, and support responses.
- Platform Security: Detecting and preventing fraud, fake accounts, and abuse.
- Advertising: Google AdSense may serve personalized ads based on your browsing behavior. This is subject to Google's Privacy Policy.
3 Data Sharing
We do not sell your personal data. We share data only in these circumstances:
- Razorpay: Payment data shared for transaction processing. Razorpay is PCI-DSS compliant.
- Google: AdSense and Fonts integrate with Google services. Google's privacy policy applies.
- AI Providers (optional): If you use the AI Tutor feature, your queries may be sent to OpenAI, Anthropic (Claude), or Google Gemini depending on admin configuration. No personally identifiable data is sent beyond your query.
- Legal Obligation: We may disclose data if required by law, court order, or government authority.
- Business Transfer: In the event of a merger or acquisition, user data may be transferred to the successor entity.
4 Data Security
- Passwords are stored using bcrypt hashing — never in plain text.
- All forms are protected by CSRF tokens.
- Sessions expire after 3600 seconds of inactivity.
- Bank and UPI details are stored in the database but not transmitted in logs.
- We recommend using HTTPS (SSL) at all times on the platform.
5 Your Rights
Under Indian law and our platform policy, you have the right to:

6 Children's Privacy
SkillWave is intended for users aged 18 and above. We do not knowingly collect personal data from minors. If we discover a minor has registered, the account will be immediately deleted.

1 No Refund Policy
SkillWave operates a strict no-refund policy on all subscription plan purchases. Once payment is successfully processed and your account is activated, no refund will be issued under any of the following circumstances:
- You changed your mind after completing payment.
- You did not use the platform after purchasing.
- You found a similar or cheaper service elsewhere.
- You claim you were unaware of this policy (it is presented clearly before payment).
- Your referral earnings were lower than you expected.
- Your account was suspended due to violation of our Terms of Service.
- The platform underwent maintenance or temporary downtime.
- You did not complete learning or did not achieve personal income goals.
2 Why No Refunds?
SkillWave grants you immediate access to digital content (courses, lessons, AI tutor, referral system) upon payment. Because this digital content cannot be "returned" once accessed, we follow a no-refund policy in accordance with standard digital goods practices and Indian consumer guidelines for digital services.
3 Exceptions (Sole Discretion)
Refunds may be considered only in the following verified circumstances, at SkillWave's sole discretion:
- A verified technical failure on SkillWave's end caused payment to be processed without account activation, AND the issue cannot be resolved within 72 hours.
- Duplicate payment made for the same plan in the same transaction session (technical error).
To request review of an exception, contact support@skillwave.com within [REFUND DAYS] days of the transaction with your payment ID and description of the issue.
4 Failed Payment Refunds
If your bank or payment provider debits your account but SkillWave does not receive payment confirmation, any deducted amount will be automatically refunded by Razorpay within 5–7 working days to your original payment method. Contact Razorpay support or your bank if you do not receive it within 10 days.
5 Plan Cancellation
Plans do not auto-renew. Your subscription expires on the end date shown in your dashboard. There is nothing to "cancel" — your access simply ends. You may choose whether or not to repurchase a plan before expiry.
6 Chargebacks
Filing a chargeback or payment dispute through your bank without first contacting SkillWave support constitutes a breach of these Terms. SkillWave will contest all fraudulent chargebacks with full transaction records and may suspend your account pending investigation.

3 Typical vs. Atypical Results
Most users on the platform may earn little to no referral income. Only users who actively promote the platform, maintain consistent referral activity, and build genuine networks tend to generate meaningful commissions. Any income figures shared in promotional materials represent exceptional, not typical, results.
4 Not Financial Advice
Nothing on SkillWave constitutes financial, investment, or business advice. The AI Tutor and all course content are for educational purposes only. Do not make financial decisions based solely on information from our platform.
5 Tax Responsibility
You are solely responsible for declaring and paying applicable taxes on any income earned through SkillWave. TDS (Tax Deducted at Source) will be deducted as required under Indian income tax law. SkillWave is not your tax advisor. Consult a qualified CA for guidance.
6 Not an MLM or Pyramid Scheme
SkillWave is a legitimate ed-tech platform that sells digital learning subscriptions. The referral commission system is supplementary to actual course delivery. Participation in the referral program is optional and not a requirement for platform access. SkillWave does not require users to recruit others to recoup their subscription cost.

1 Program Overview
SkillWave's Referral Program allows registered users and teachers to earn commissions by referring new members to the platform. Commissions are earned automatically when a referred person makes a successful plan purchase.
The program operates on 3 levels (L1, L2, L3) — meaning you can earn not just from your direct referrals, but from the referrals made by your referrals, up to 3 levels deep.

4 How to Participate
- Register and purchase any active plan on SkillWave.
- Your unique referral code and link are auto-generated upon account creation.
- Share your referral link via WhatsApp, Telegram, social media, or directly.
- When someone registers using your link and completes plan payment, commission is credited instantly to your wallet.
5 Commission Crediting Rules
- Commission is credited only upon successful payment — failed or pending payments do not generate commission.
- Commission is credited instantly to the referring user's wallet after payment confirmation.
- Self-referral (using your own link to register a second account) is strictly prohibited and will result in account ban and commission forfeiture.
- You must have an active subscription to participate and receive commissions.
6 Fraud & Abuse Prevention
- Creating fake accounts to generate artificial referral commissions is strictly prohibited.
- Using the same device, IP address, or payment method across multiple accounts will trigger fraud review.
- Offering cash-back, discounts, or incentives to referred users using platform commission is not permitted.
- SkillWave reserves the right to withhold, reverse, or forfeit commissions from any account suspected of abuse.
- Accounts involved in referral fraud will be permanently banned and may face legal action.
7 Commission Changes
Commission rates are set by the SkillWave admin and are subject to change. Users will be notified of material changes to commission rates at least 30 days in advance. Commissions already credited to wallets before a rate change will not be affected.

1 Commission Calculation
All commissions are calculated as a percentage of the plan price (INR) at the time of the referred user's payment. Commissions are rounded to two decimal places.

2 When Commissions Are Credited
- Commissions are credited instantly to the wallet upon Razorpay payment confirmation.
- Status of credited commissions: "credited" — visible in your wallet transaction history.
- Commission status: pending (rare, used during review/investigation periods).
3 Scholarship Earnings
SkillWave's platform tracks a "Scholarship" balance that may be awarded to high-performing affiliates or participants in platform events. This balance is displayed separately on the dashboard and is subject to specific terms communicated during the scholarship program.
4 Commission Forfeiture
Commissions will be forfeited (reversed or withheld) in the following cases:
- Fraud or abuse of the referral system is detected.
- Referred user's payment is reversed due to chargeback or fraud.
- Account is banned or suspended for Terms of Service violations.
- Self-referral or artificial referral activity is detected.
5 Tax Deduction (TDS)
As required under Indian Income Tax law, TDS (Tax Deducted at Source) will be deducted on payouts where applicable. The applicable rate depends on your total annual earnings and income category. SkillWave will issue TDS certificates as required by law. [GST DETAILS, if applicable]

1 Eligibility to Withdraw
- You must have an active SkillWave account in good standing (not suspended or banned).
- Your wallet balance must be at least ₹200 (minimum withdrawal amount, admin-configurable).
- You must have valid bank account or UPI details saved in your profile.
- No pending withdrawal request may be active at the time of submission.
Teacher minimum withdrawal: ₹100
2 Withdrawal Methods
- Bank Transfer: Requires Bank Name, Account Number, IFSC Code, and Account Holder Name.
- UPI: Requires your UPI ID (e.g., name@bank).
Please double-check all payment details before submitting. SkillWave is not responsible for delays or losses due to incorrect bank/UPI information provided by you.
3 7-Day Cooldown Period
After each approved withdrawal, a 7-day cooldown period applies before you can submit another request. This cooldown exists to:
- Prevent abuse and money laundering.
- Allow proper transaction reconciliation.
- Protect the platform from payment reversal fraud.
A live countdown timer is displayed in your dashboard during the cooldown period. Rejected withdrawals do not trigger a cooldown.
4 Processing Time
- Withdrawal requests are processed by the admin within 3–5 business days.
- Business days exclude Sundays and Indian national public holidays.
- Bank transfers may take an additional 1–2 working days to reflect in your account depending on your bank.
5 Withdrawal Request Status
- Pending: Your request has been submitted and is awaiting admin review.
- Approved: Admin has processed the payout. Funds will reflect in your account within 1–2 days.
- Rejected: Your request was declined (reason provided). Your wallet balance is restored automatically.
6 Rejected Withdrawals
Withdrawals may be rejected if:
- Bank/UPI details are incorrect or incomplete.
- The account is under fraud investigation.
- The requested amount exceeds your verified wallet balance.
- Platform is undergoing an audit or maintenance.
Rejected withdrawal amounts are automatically restored to your wallet balance.
7 Account Suspension & Forfeiture
If your account is permanently suspended for Terms violations, any wallet balance below the minimum withdrawal threshold will be forfeited. Balances above the threshold will be reviewed on a case-by-case basis.

1 Payment Gateway
All payments on SkillWave are processed via Razorpay (Razorpay Software Private Limited), a RBI-regulated and PCI-DSS compliant payment gateway. By making a payment, you agree to Razorpay's Terms of Service and Privacy Policy.

3 Currency & Pricing
All transactions are in Indian Rupees (INR, ₹). Prices displayed on the platform include applicable taxes unless explicitly stated otherwise. SkillWave does not process payments in foreign currencies.
4 Payment Security
- SkillWave does not store your card number, CVV, or internet banking credentials.
- All payment data is transmitted directly to Razorpay's encrypted servers.
- Payment signatures are cryptographically verified on our server before account activation.
5 Failed Payments
If a payment is deducted from your account but not confirmed by SkillWave, the amount will be automatically refunded by Razorpay within 5–7 working days. Do not reattempt payment until you have confirmed with support that the original payment failed on our end.
6 Chargeback & Disputes
Initiating a chargeback without first contacting SkillWave support is a violation of these Terms. All chargeback requests will be contested with Razorpay using transaction logs, and the user's account will be suspended pending resolution.

1 Permitted Use
You may use SkillWave to:
- Learn digital skills through our course and lesson library.
- Refer others legitimately using your referral link.
- Submit withdrawal requests for legitimately earned commissions.
- Interact with the AI Tutor for educational queries.
- Submit support tickets and communicate with our team.
- Manage your profile, bank details, and account settings.
2 Prohibited Activities
- Creating multiple accounts for any reason.
- Manipulating the referral system through fake registrations or fraudulent payments.
- Using bots, scripts, or automation tools to interact with the platform.
- Scraping, crawling, or harvesting data from SkillWave.
- Attempting to access other users' accounts or private data.
- Uploading malicious content, viruses, or code.
- Using the platform to conduct phishing, scamming, or fraud.
- Misrepresenting SkillWave's earnings potential in referral promotions.
- Using SkillWave's name or logo without written permission.
3 Enforcement
Violations of this policy may result in: a formal warning, temporary suspension, permanent account ban, forfeiture of wallet balance, and/or legal action depending on severity.

1 Respect
Treat every user, teacher, and team member with respect. Discriminatory, hateful, or abusive language based on race, religion, gender, nationality, disability, or any other characteristic is strictly prohibited.
2 Honest Communication
- Do not impersonate SkillWave staff or other users.
- Be honest about your earnings when sharing testimonials or referral success stories.
- Do not make exaggerated or false income claims when promoting your referral link.
3 Spam & Solicitation
- Do not spam support channels, teacher dashboards, or any platform feature.
- Do not use SkillWave's platform to solicit users to competing services.
- Referral link sharing must be voluntary — pressure tactics or harassment are not permitted.
4 Support Tickets
Support tickets must be used only for legitimate platform issues. Submitting false or duplicate tickets, threatening support agents, or abusing the support system will result in account action.
5 Consequences
Violations of Community Guidelines will result in warnings, temporary suspension, or permanent account termination depending on severity and frequency.
Anti-Spam Policy

1 Prohibited Spam Activities
- Mass emailing strangers with your referral link without consent.
- Adding people to WhatsApp groups or Telegram channels without permission.
- Creating fake social media profiles to promote your referral link.
- Using purchased or harvested email lists for referral promotion.
- Submitting referral links in unrelated forums, comment sections, or social platforms.
- Using misleading subject lines, false promises, or fake screenshots of earnings.
2 SkillWave's Email Communications
SkillWave sends transactional emails only (verification, password reset, support). We do not send unsolicited marketing emails. If you receive spam claiming to be from SkillWave, please report it to support@skillwave.com.
3 Consequences
Spam activities will result in immediate account suspension. SkillWave may report serial spammers to relevant authorities and will cooperate with takedown requests from email service providers and social platforms.

1 Account Status Types
- Active: Normal account in good standing with full platform access.
- Inactive: Account exists but subscription has expired; limited access.
- Pending (Teachers): Awaiting admin review and approval.
